ARTICLE 5
MEMBER ORGANIZATION
SECTION 1. DETERMINATION AND RIGHTS OF MEMBER ORGANIZATIONS
1) Membership to this Federation shall be open to all Sudanese-American associations, organizations and community centers (hereinafter referred to as member organizations) that are currently
a) incorporated as Non-profit organizations in the United States of America,
b) are active and authorized to do business in the United States of America,
c) in a good standing as defined by the laws that govern their incorporation.
2) Each organization under the umbrella Federation shall maintain its separate and independent organizational, legal, and financial systems according to the rules and regulations governing its work in the State of operation.
SECTION 2. QULIFICATIONS OF MEMBERS
In addition to the requirements listed in Section (1) of this Article, each member organization shall meet the following requirements:
1. Membership of the member organization under the umbrella of this Federation shall be open to all people of Sudanese heritage in its geographical area regardless of political, religious, ethnic affiliation, or gender.
2. Leadership of all member organizations of this Federation must be democratically elected according to the rules and laws regulating the work of each organization
3. Member organizations shall work with the principle of complete transparency, and convey all information to members of each association in what relates to the rules, financial records, and the minutes of meetings for each member association.
4. Each member organization shall commit to maintaining a minimum of 25 committed members with paid membership dues.
SECTION 3. ADMISSION OF MEMBER ORGANIZATION
1) Any organization that meets the requirements listed in Section (1) and Section (2) of this article shall submit a written application to President or Secretary of the FSAA requesting to join the Federation.
2) The Board of Directors evaluates the application, and may require additional documents from the candidate organization to verify its eligibility to the membership.
3) Upon completion of the requirements; the Board of directors shall review the application and shall decide on it within thirty (30) days and notify the requesting organization with the result of the processing of the request.
SECTION 4. FEES AND DUES
1) An annual membership fee shall be paid by the member organizations applying to join or to continue as a member organizations of this Federation. A onetime registration fee is required and due at time of registration.
2) The FSAA Board of directors in coordination with the FSAA Representatives Assembly will publish the annual membership fees and the one time registration fee and make this information available to the new member organization.
3) The FSAA Board of Directors in coordination with FSAA Representatives Assembly may adjust the annual membership and registration fees and make this information available to the membership organization to be effective in the year following to its adoption.
SECTION 5: NONLIABILITY OF MEMBER ORGANIZATION
A member organization of FSAA is not, as such, liable for the debts, liabilities, or obligations of FSAA.
SECTION 6: NONTRANSFERABILITY OF MEMBERSHIP
1. No member organization may transfer its membership rights or any other right arising there from.
2. All rights of membership that was granted to an organization shall cease upon the termination of its membership to FSAA.
SECTION 7: TERMINATION OF MEMBERSHIP
The membership rights of a member organization shall terminate upon the occurrence of any of the following events:
1. Upon request of the member organization by delivering request of termination notice to the President or Secretary of FSAA personally or by mail, such membership to terminate upon the date of delivery of the notice or date of deposit in the mail;
2. Upon the failure to renew its membership by paying dues on or before their due date, such termination shall be effective after thirty (30) days of a written notification of delinquency is mailed or emailed to the member organization by the Secretary of FSAA. A member organization may avoid such termination by paying the amount of delinquent dues within thirty (30) day period following the member’s receipt of the written notification of delinquency;
3. After providing the member with reasonable written notice and an opportunity to be heard either orally or in writing, upon a determination by the Representatives Assembly of FSAA that the member has violated FSAA’s code of conduct or engaged in conduct materially and seriously prejudicial to the interests or purposes of FSAA;
4. Upon a failure to satisfy the membership qualifications set forth in Section (2) herein. .
SECTION 8: VOTING PRIVILEGES
1) Voting privileges for member organizations shall become effective in the month following the month in which a membership application is received by the Board of Directors.
2) General membership and voting privileges shall terminate at such time as the criteria in Section 2 of these article are no longer met.
ARTICLE 6
REPRESENTATIVES OF MEMBER ORGANIZATION
SECTION 1. SELECTION OF REPRESENTATIVES
Each member organization shall provide FSAA with the names of two (2) representatives to participate in FSAA Representatives Assembly meetings for period of two years from the date of acceptance of nomination. FSAA shall notify the member organization with the acceptance of name of the representatives
SECTION 2. ROLES AND RESPONSBILITIES
A member organization representative shall:
1) Attend and participate in the Representatives Assembly meetings and,
2) Present the opinion of the member organization on any topic that is being discussed or addressed by the Representative Assembly,
3) Vote on behalf of the member organization in any resolution that is being addressed by the Representative Assembly.
SECTION 3. REPLACEMENT OF REPRESENTATIVE
A member organization may request FSAA to replace or remove its representative from FSAA Representatives Assembly upon
1- The change of status of its representative due to election results, performance, or merely for reasons deemed necessary by his/her member organizations.
2 the expiration of the term of the representative
3 death of the representative
4 termination of the membership of the representative in the member organization
ARTICLE 7
REPRESENTATIVE ASSEMBLY
SECTION 1. POWERS AND DUTIES
The FSAA Representatives Assembly shall have the following duties and authorities:
1. To perform any and all duties specified in these Bylaws;
2. To elect the Board of Directors from its members every four (4) years;
3. To discuss and approve the annual report and the annual financial statements;
4. To discuss and approve any proposals for amending the Bylaws of FSAA;
5. To pass a vote of no confidence in the Board of Directors as stipulated under Section (6) hereunder.
SECTION 2. PLACE OF MEETING
Meetings of the FSAA Representatives Assembly shall be held at the principal office of FSAA or at such other place or places as may be designated from time to time by resolution of the Board of Directors.
SECTION 3. REGULAR MEETINGS
The regular meeting of the Representatives Assembly shall be held annually during the Memorial Day weekend of each year to review the performance and accomplishments of the Board of Directors
SECTION 4. SPECIAL MEETINGS
1. A special meeting of the Representatives Assembly shall be called by the Board of Directors, to discuss any issues referred to the Representatives Assembly by the Board of Directors
2. Special meetings can also be called at the request of one fourth of the member organizations of FSAA who qualify under Article (4) Section (2) herein. The Board of Directors shall call for such a meeting, once a petition including the names, signatures, addresses and telephone numbers of such members is delivered to it.
SECTION 5. CONDUCT OF THE MEETINGS
Meetings of the Representatives Assembly shall be presided over by the President of the FSAA or, in his or her absence, by the Vice President of FSAA. The Secretary of the FSAA shall act as Secretary of all meetings of the Representative Assembly; in his or her absence; the presiding officer shall appoint another person to act as Secretary of the Meeting.
SECTION 6. VOTE OF NO CONFIDENCE
1) At any regular or special meeting of the Representative Assembly, the Representatives Assembly may, by a vote of two thirds of those present in the meeting, pass a vote of no confidence in the Board of Directors. In such cases the Board of Directors shall cease to hold office.
2) The Representatives Assembly shall call for a subsequent meeting of the Representatives Assembly to elect a new Board of Directors not later than two (2) weeks of this meeting.
3) In such a situation the outgoing Board of Directors shall handover all records and finances to a temporary committee to be designated by the Representatives Assembly for that purpose.
SECTION 7. NOTICE OF MEETINGS
Unless otherwise provided by the Articles of Incorporation, these Bylaws, or provisions of law, notice stating the place, day and hour of the meeting and, in the case of a special meeting, the purpose or purposes for which the meeting is called, shall be delivered not less than ten (10) nor more than thirty (30) days before the date of the meeting, either personally or by mail, by email, by or at the direction of the President, or the Secretary, or the persons calling the meeting, to each member entitled to vote at such meeting. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail, addressed to the member organization representative at his or her address as it appears on the records of FSAA, with postage prepaid.
SECTION 8. QUORUM FOR MEETINGS
1. A quorum of regular and special meetings of the Representatives Assembly shall consist of one half of the representatives of the registered, and dues paying member organization of FSAA.
2. Except as otherwise provided under the Articles of Incorporation, these Bylaws, or provisions of law, no business shall be considered by the members at any meeting at which the required quorum is not present, and the only motion which the President shall entertain at such meeting is a motion to adjourn.
3. If a quorum is not present in any meeting, a subsequent meeting shall be called by the Board of Directors within two (2) weeks of the first meeting. The quorum for such meeting shall be one fourth of the registered, dues paying members of FSAA. If less than one forth was present, the Board of Directors shall call for another meeting within one week from this meeting, which shall be a valid meeting regardless of the number of members attending.
SECTION 9. MAJORITY ACTION AS THE REPRESENTATIVES ASSEMBLYACTION
Every act or decision done or made by a majority of voting members present in person at a duly held meeting at which a quorum is present is the act of the Representative Assembly, unless the Articles of Incorporation, these Bylaws, or provisions of law require a greater number.
ARTICLE 8
BOARD OF DIRECTORS
SECTION 1. MEMBERS OF THE BOARD OF DIRECTORS
1) The Board of Directors shall consist of eleven (11) officers to be filled by the candidates who obtain the highest number of votes at election by the members of the Representative Assembly.
2) Names of the remaining candidates shall be kept as a reserve list by the Board of Directors for the purpose of filling any vacancy or vacancies that may arise in accordance with highest number votes obtained at the election at the Representatives Assembly meeting.
3) In case of equal number of votes for the eleventh officer, the election committee shall determine the winner by a process of drawing of lots between the competing candidates by the Chair of the election committee.
SECTION 2. TERM OF THE BOARD OF DIRECTORS
1) Each Board of Directors shall hold office for a period of four (4) years unless otherwise decided by the Representative Assembly.
2) During the election of the first Board of Directors; the five officers who obtained the least numbers of votes shall serve for two years only.
3) Every two years, FSAA Representatives Assembly shall elect five or six officers to back fill the outgoing Board of Directors officers.
SECTION 3. ROLES AND RESPONSIBILITIES
The Federation of Sudanese American Associations (FSAA) Board of Directors shall establish official positions and opinions for the Federation as a whole.
SECTION 4. QUORUM OF THE BOARD OF DIRECTORS
A majority of the Board of Directors members shall constitute a quorum.
SECTION 5. VACANCIES
1) Vacancies on the Board of Directors shall result on the:
a) death,
b) resignation or
c) removal of any officer.
2) In case such a vacancy arises, it shall be filled from the reserve list as stated in section (2) of this Article.
3) In case all candidates from the reserve list are not available to fill such position, the vacancy or vacancies shall be filled by the Board of Directors by a member who satisfies the provisions of section (1) of this article.
SECTION 6. REMOVAL OF OFFICERS
Notwithstanding any other provision of these by-laws an Board of Directors member may be removed from the Board of Directors by a two-thirds (2/3) vote of the Board of Directors members at a Board of Directors meeting, provided that the reason for such an action is in response to statements, actions or activities by the member being removed which are deemed to constitute a threat to the continued effectiveness of the Federation and its by-laws and provided further that the member being removed is present at the meeting or has been notified in advance that such action is being contemplated.
SECTION 7. ATTENDANCE TO THE BOARD OF DIRECTORTS MEETINGS
All Board of Directors meetings shall be open to all members of the Representative Assembly.
SECTION 8. BOARD OF DIRECTORS REGULAR MEETINGS
Board of Directors meetings shall be held once every two months unless otherwise designated by majority vote of the Board of Directors. Time, place, and agenda of the meetings shall be published on the FSAA Website and disseminated as widely as possible.
SECTION 9. AGENDAS OF BOARD OF DIRECTORS REGULAR MEETINGS
The President of the Federation shall establish a proposed agenda for each Board of Directors meeting of the Federation. Board of Directors meeting agendas shall be open to input from all Association members.
ARTICLE 9
DUTIES OF OFFICERS OF THE BOARD OF DIRECTORS
SECTION 1. DESIGNATION OF OFFICERS
1) The Board of Directors shall nominate and appoint four of its member to act as:
a) President,
b) Vice-President,
c) Secretary General,
d) Treasurer,
2) The Board of Directors shall assign offices and responsibilities to its remaining members.
SECTION 2: SELECTION OF FSAA OFFICERS
Officers shall be chosen by a majority vote of the Board of Directors members, using a secret ballot, at the regular meeting, immediately following election of the Board of Directors members. Voting may be acclamation, rather than by ballot, if there is only one candidate for an office.
SECTION 3: QUALIFICATIONS OF FSAA OFFICERS
Only Board of Directors members, including those newly elected at the regular meeting, shall be eligible to run for and to hold office.
SECTION 4: DUTIES OF THE PRESIDENT
1) The President of the Board of Directors shall be the principal officer and shall preside over all meetings of this Federation.
2) Is to be responsible to General Assembly for FSAA’s performance ,
3) Sign official letters, and sign with treasurer checks issued in the name of this organization.
4) Is to be responsible for all official communications and officially represent the federation in all occasions
5) If for any reason the president is unable to fulfill his/her duties, those duties shall be assumed by the vice president until such time as a new president can be elected. Should both the president and the vice president be unable to perform their duties, the secretary general would assume those duties until elections were held.
SECTION 5: DUTIES OF THE VICE PRESIDENT
The Vice President of the Board of Directors shall:
1) In the absence of the President, carry out all the duties and responsibilities of the principal officer.
2) Take over all or part of the responsibilities of any absent Officer.
3) Help the president in supervising and executing the Board of directors and Representatives Assembly decisions.
4) Play a connection role between the Federation and its members.
SECTION 6: DUTIES OF THE SECRETARY GENERAL
The Secretary General of the Board of Directors shall:
1) Is the Official spokesperson for FSAA
2) Maintain general membership files.
3) Record and maintain minutes of the Federation meetings;
4) Maintain an attendance record of Board of Directors members and notify the Committee of a vacancy.
5) Prepare correspondence as directed;
6) Coordinate between federation offices and member organizations
SECTION 7: DUTIES OF THE TREASURER
1) Receive all money to be deposited in a bank in the name of this Federation;
2) Disburse all funds upon authorization from the Board of Directors;
3) Keep an accurate record of all receipts and disbursements;
4) Report at each Board of Directors meeting
5) Prepare an annual report for review by the Board of Directors in the assigned date and time; and
6) Control and Document all FSAA assets
SECTION 8: DELEGATION OF RESPONSIBILITIES
The above-described duties of the Board and its officers may be delegated to others upon approval by a majority vote of the Board. Whenever possible, said duties shall be performed by a Board member; otherwise, said duties shall be supervised by a Board member.
ARTICLE 10
COMMITTEES
SECTION 1. FORMATION OF COMMITTEES
The Board of Directors shall establish committees as necessary to carry out on the work of the Board of Directors and the Federation. The chair of each committee shall be a representative of a member organization of the Federation. All representatives of member organizations who are in good standing are eligible to serve on committees.
SECTION 2. ROLES AND RESPONSIBILITIES OF COMMITTEES
The roles and relationships of the Board of Directors and its established Sub-Committees shall be guided by the Board of Directors’ Guidelines on Committees, (to be discussed and adopted)
ARTICLE 11
AMENDMENT OF BYLAWS
SECTION 1. AMENDMENTS
These bylaws may be amended at any general membership meeting by a two-thirds (2/3) vote of the Reprehensive Assembly present, provided that:
1) a summary of proposed amendments was published in the newsletter or a supplemental mailing announcing the time and place of such meeting;
1) the full text of proposed changes were made available for review at the preceding general membership or Board meeting, or in the newsletter or a supplemental mailing prior to the general membership meeting at which said vote is to take place; and
2) said text was presented to the Board at the Board meeting prior to the general membership meeting at which said vote is to take place.
