Bylaws of the
Federation of the Sudanese American Associations (FSAA)

ARTICLE 1
NAME, PRINCIPAL AND CHAPTER OFFICES
SECTION 1. NAME OF THE ORGANIZATION
The name of the organization governed by these Bylaws shall be the Federation of the Sudanese American Associations (hereinafter referred to as FSAA)
SECTION 2. PRINCIPLAL OFFICE
The FSAA shall be incorporated as a non-profit organization in Oakland California. The temporary principal office of the Federation of the Sudanese American Association shall be located at 60 98th Ave Ste 100 | Oakland CA 94603 USA
SECTION 3. AREA OF COVERAGE
The geographical area covered by the services provided by FSAA shall be the entire United States of America
SECTION 4. OTHER OFFICES
FSAA may also have offices at such other places, within the United States of America where it is authorized to do business, as its business and activities may require, and as the Board of Directors may, from time to time, designate.
ARTICLE 2
PURPOSE AND OBJECTIVES
SECTION 1. PURPOSE
1) The purpose of FSAA shall be to coordinate and address issues of concern to the Sudanese community organizations, societies, and centers in the Unites States.
2) FSAA is organized exclusively for charitable purposes within the meaning of section 501(c)(3) of the Internal Revenue Code.
SECTION 2. GOALS AND OBJECTIVES
FSAA shall work to achieve the following objectives:
1. Coordinate and unite efforts pertaining to the challenges facing the Sudanese communities in the United States.
2. Plan, execute and implement programs pertinent to their respective organizations, and between member organizations in various areas relating to the Federation activities.
3. Exchange resources, ideas, expertise, and experiences between member organizations in various areas relating to the Federation activities.
4. Connect people of Sudanese origin in the United States, especially second and third generations with their home land Sudan, through shared activities.
5. Undertake needs assessments and write grants, and seek financial support that is available through American funding providers to fund projects of the Federation.
6. Empower women by encouraging their community input, voices, and actions, and finding effective means to raise and sustain the representation of women, their participation and their involvement in all Federation activities by promoting gender equality practices, creating opportunities for women to empower themselves, and addressing key issues they see as pertinent to their life. Strive to create a community environment that would assist women’s self-reliance, and emergence of women leaders from local organizations to that of the Board of the Federation.
7. Encourage members to acquire all levels of education and address the importance of pursuing advanced studies in all fields of knowledge. Engage in learning new things, developing critical thinking, and encouraging scientific research, .
8. Engage the Sudanese, or the Sudanese American youth in the life and workings of Federation, and its member organizations. Encourage them to take leadership roles from local organizations level to that of the Board of the Federation. Recognize the youth achievements in schools, education institutions, sports, and in all other community activities.
9. Welcome, support and empower new immigrants and refugees and their families of Sudanese origin to the life in the US. Facilitate their sustainable integration into their new environment and culture through providing necessary training and empowerment with new skills including English language learning, helping them with cultural adjustment and emotional support, employment preparation and placement, and referring them to legal services.
10. Encourage and promote the formation of Sudanese American cultural, social, professional and business forums in the US, and develop methods to connect such forums to the Federation.
SECTION 3. WAYS AND MEANS
The Federation will utilize variety of mechanisms to achieve the above listed objectives by:
1) Establishing a Web site and provide an open forum within it for discussion for member organizations who are concerned about the quality of life in the United States of America
2) Organizing and implementing special community and cultural events deemed of interest to the Sudanese Diaspora in the United States; and
3) Launching an annual Sudan’s day reflecting its rich multicultural and folklore .
4) Gathering and disseminating information, and publicity pertaining to the activities of the Federation and its member organizations to members of the community.
5) Establishing the Sudanese American library that include the Sudanese and Sudanese American publishing.
SECTION 4. COMPLIANCE
Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on
(1) By a corporation exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law) or
(2) By a corporation contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law).
SECTION 5. GENERAL PROVISION
1. PROHIBITION OF DESCRIMINATION PRACTICES
All the activities initiated by or sponsored by the Federation shall not discriminate against any person or persons by reason of age, race, color, sex, creed, national origin or sexual preference.
2. COMPLIANCE WITH LAWS
Each association shall commit to respect laws and rules regulating the practice of voluntary and non-profit organizations in the United States of America.
